By accessing or using the ViviScape website (viviscape.com), any ViviScape software-as-a-service (SaaS) applications (including but not limited to WorkOS at work.viviscape.io), mobile applications, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
These Terms apply to all users of the Services, including visitors, registered account holders, paying subscribers, and any person or entity accessing the Services on behalf of an organization.
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
The following provisions apply specifically to ViviScape SaaS applications, including WorkOS and any future Platform offerings.
To access Platform features, you may be required to create an Account. You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify ViviScape immediately of any unauthorized use of your Account.
If you create an Account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Certain Platform features require a paid Subscription. By subscribing, you agree to the following:
ViviScape may offer free tiers or trial periods at its discretion. Free tiers and trials may be subject to usage limits and may be modified or discontinued at any time without notice. ViviScape is not obligated to maintain free-tier access indefinitely.
You retain all ownership rights to your Customer Data. By using the Platform, you grant ViviScape a limited, non-exclusive license to process, store, and transmit your Customer Data solely to provide and improve the Services.
ViviScape will not sell, share, or use your Customer Data for advertising purposes. ViviScape may use anonymized, aggregated data that does not identify individual users or organizations for analytics, product improvement, and benchmarking purposes.
Upon termination of your Account, you may request export of your Customer Data within 30 days. After 30 days, ViviScape reserves the right to delete your Customer Data in accordance with its data retention policies.
ViviScape will use commercially reasonable efforts to maintain Platform availability. However, the Platform is provided "as is" and ViviScape does not guarantee uninterrupted or error-free service. Scheduled maintenance windows will be communicated in advance when feasible. ViviScape is not liable for any downtime, data loss, or service interruption.
ViviScape may update, modify, or discontinue Platform features at any time. We will provide reasonable notice for material changes that affect your use of the Platform. Continued use after changes are implemented constitutes acceptance of the updated functionality.
If you access Platform features through an API or third-party integration, you agree to comply with any applicable API documentation and rate limits. ViviScape reserves the right to throttle, suspend, or revoke API access for misuse or excessive usage that degrades service for other users.
If your Subscription includes multi-user or team access, the Account administrator is responsible for managing user permissions and ensuring all users under the Account comply with these Terms. ViviScape is not responsible for actions taken by authorized users within your Account.
The following provisions apply to any ViviScape Mobile App available for download or use on mobile devices.
ViviScape grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Mobile App on a device that you own or control, solely for your personal or internal business use in connection with the Services. This license does not allow you to distribute, sublicense, or make the Mobile App available to any third party.
If you download the Mobile App from a third-party app store (Apple App Store, Google Play Store, or similar), you acknowledge and agree that:
The Mobile App may request access to certain device features, including but not limited to camera, location, contacts, push notifications, storage, and biometric authentication. You may manage these permissions through your device settings. Disabling certain permissions may limit Mobile App functionality.
Data collected through the Mobile App is governed by our Privacy Policy. The Mobile App may store limited data locally on your device for offline functionality and performance purposes.
The Mobile App may send push notifications related to your Account activity, system alerts, or service updates. You may opt out of push notifications through your device settings at any time. Opting out may affect your ability to receive time-sensitive information about your Account.
ViviScape may release updates to the Mobile App from time to time. While we will endeavor to maintain backward compatibility, certain updates may require a minimum operating system version. ViviScape is not obligated to support outdated operating systems or device models. You are responsible for keeping the Mobile App updated to the latest available version.
Certain Mobile App features may be available offline. Data created or modified offline will synchronize with the Platform when connectivity is restored. In the event of synchronization conflicts, the Platform's server-side data will take precedence unless otherwise specified.
All content on the ViviScape website and Platforms — including text, graphics, logos, images, software, source code, and design — is the property of ViviScape LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.
The ViviScape name, logo, WorkOS name and logo, and all related product names, trademarks, and service marks are the property of ViviScape LLC. Nothing in these Terms grants you any right to use any ViviScape trademark without prior written consent.
For custom software development and other service engagements, intellectual property ownership and licensing terms are governed by the specific agreement or statement of work between ViviScape and the client. These Terms of Service do not alter the terms of any separate client agreement.
Our Services may contain links to or integrations with third-party websites, services, or APIs. ViviScape is not responsible for the content, accuracy, availability, or practices of any third-party services. Use of third-party integrations is at your own risk and subject to the third party's terms and conditions.
Our Services, including all SaaS Platforms and Mobile Apps, are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ViviScape does not warrant that the Services will be uninterrupted, error-free, completely secure, or free from viruses or other harmful components.
To the fullest extent permitted by law, ViviScape LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses resulting from:
In no event shall ViviScape's total aggregate liability exceed the amount you have paid to ViviScape in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
You agree to indemnify, defend, and hold harmless ViviScape LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, your violation of any third-party rights, or any Customer Data you submit to the Platform.
ViviScape may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:
You may terminate your Account at any time by contacting ViviScape or through your Account settings. Termination does not entitle you to a refund of any prepaid Subscription fees unless otherwise required by law.
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Elkhart County, Indiana.
Before initiating any legal proceeding, you agree to attempt to resolve the dispute informally by contacting ViviScape. If the dispute is not resolved within 30 days of the initial notice, either party may proceed with formal legal action.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Subscription agreement, constitute the entire agreement between you and ViviScape regarding the Services and supersede all prior agreements, communications, and proposals.
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date. For material changes, we will provide notice through the Platform, email, or other reasonable means. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
